PROJECT OVERVIEW

MCUBE Engineering Consultants was engaged as an independent technical advisor to undertake multi-dimensional due diligence of a regional Energy Savings Performance Contract (ESPC) portfolio for an investment decision-making process.

The five-week engagement brought together engineering, Measurement & Verification (M&V), contractual, and bankability review within one integrated diligence framework. MCUBE reviewed the technical foundations of the projects, the Investment Grade Audit (IGA) basis, M&V plans, baseline methodologies, savings calculations and ESPC contract structures to determine whether the underlying performance case was technically robust and auditable.

The assignment was structured to translate complex technical and contractual information into a clear investor-oriented view of project quality, measurement integrity, risk allocation and bankability – without relying solely on headline savings figures.

THE REQUIREMENT

The client required an independent Owner’s Engineer-style assessment capable of testing the technical credibility and financeability of an existing ESPC portfolio. The review needed to establish whether the IGA assumptions, baselines, M&V methodologies, reported savings logic and contractual mechanisms were aligned, reproducible and suitable for investment evaluation, while identifying the actions required to strengthen governance and close material diligence items.

OUR SCOPE

  • Independent technical and contractual review of ESPC project documentation, including Investment Grade Audits, M&V plans, energy-savings calculations and key contract schedules.
  • Assessment of baseline definition, measurement boundaries, independent variables, routine adjustments and non-routine adjustment governance.
  • Independent review of M&V methodology against IPMVP principles and applicable ASHRAE Guideline 14 statistical quality criteria.
  • Recomputation and validation of savings logic, regression models and measurement assumptions where supporting datasets were available.
  • Review of technical-commercial alignment between IGA assumptions, contractual savings schedules, M&V plans and post-implementation reporting architecture.
  • Multi-dimensional risk assessment spanning engineering, M&V, operational, contractual, data-quality and bankability considerations.
  • Development of downside and sensitivity frameworks using P50 / P75 / P90 concepts and structured stress-testing to support investment decision-making.
  • Preparation of consolidated diligence conclusions, risk-closure actions and decision-support material for the investor/lender review process.

OUR APPROACH

MCUBE applied an evidence-led diligence methodology that followed the complete ESPC value chain from the Investment Grade Audit and contractual baseline through the M&V plan, implementation evidence and performance reporting. Each layer was checked for consistency so that the savings entitlement could be traced from original engineering assumptions to the measurement and contractual mechanisms used during operation.

The technical review combined baseline-model assessment, M&V methodology review, statistical testing, savings recomputation and contract-interface checks. Risks were then grouped into clearly defined diligence themes and assessed according to materiality, closeability and potential impact on long-term performance cash flows.

For investment decision support, MCUBE converted the technical findings into a portfolio-level bankability framework using confidence-based savings cases, sensitivity testing and structured closure actions. This allowed the decision process to distinguish normal statistical uncertainty from engineering, operational or contractual risks that could be addressed through governance, documentation or conditions precedent.

ENGINEERING VALUE

  • Integrated Owner’s Engineer due diligence combining engineering, M&V, contractual and investment-risk perspectives within one review framework.
  • Independent assessment of IGA baselines, M&V boundaries, regression logic, routine and non-routine adjustments, and savings calculation methodology.
  • Application of IPMVP principles and ASHRAE Guideline 14 statistical metrics to test baseline quality and measurement credibility.
  • P50 / P75 / P90 confidence framing and sensitivity analysis to translate technical uncertainty into an investor-readable bankability view.
  • Portfolio-level risk classification covering technical performance, metering and data continuity, M&V governance, contract alignment and operational persistence.
  • Consolidated risk-closure framework and conditions-precedent methodology supporting transparent investment committee decision-making.

RESULTS

MCUBE delivered an independent, evidence-based technical due diligence framework that gave the investment team a structured view of the ESPC portfolio’s engineering basis, M&V integrity, contract-to-performance alignment and bankability.

The work transformed multiple technical reports, calculations and contractual documents into a consistent portfolio assessment, supported by reproducible checks, statistical validation, sensitivity analysis and clearly defined closure actions. This provided a stronger basis for investment decisions, lender review and post-investment M&V governance while preserving a clear audit trail from the original IGA through operational savings verification.
